OVERVIEW

“The House of Umami” is the brand and store name used on this website (the “Site”) and is not a separate legal entity.

The Site and its online storefront are owned and operated by Ys and Partners Japan Co., Ltd. (“YS Japan”). Product curation, producer relationships, and Japan-side sourcing are managed by YS Japan.

Orders placed and paid for through the Site’s online checkout are sold and processed by YS Japan (“Online Checkout Orders”).

Approved B2B chef account orders paid by invoice or ACH are sold and processed by Ys and Partners, Inc., a California corporation (“YS US”) (“B2B Orders”).

For purposes of these Terms, the “Applicable Seller” means:

  1. YS Japan for Online Checkout Orders; and
  2. YS US for B2B Orders.

YS US provides U.S. customer support and domestic fulfillment coordination for Online Checkout Orders. For B2B Orders, YS US handles customer service, invoicing, ACH payments, fulfillment, and delivery to the customer.

For provisions relating to an order or transaction, “we,” “us,” and “our” refer to the Applicable Seller.

For provisions relating generally to the Site, Site administration, content, tools, features, or access, and not to a specific order or transaction, “we,” “us,” and “our” refer to YS Japan.

References to “The House of Umami,” the “Store,” or the “Site” refer to the brand and website and not to a separate legal entity.

If an approved B2B account is governed by a separate written agreement, quotation, invoice, or account-specific terms, those terms will control to the extent of any conflict with these Terms.

By visiting our Site and/or purchasing something from us, you engage in our “Service” and agree to be bound by these terms and conditions (“Terms of Service” or “Terms”), including any additional terms and conditions and policies referenced herein and/or available by hyperlink.

These Terms apply to all users of the Site, including, without limitation, browsers, vendors, customers, merchants, and contributors of content.

Please read these Terms carefully before accessing or using the Site. By accessing or using any part of the Site, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the Site or use the Service.

Any new features or tools added to the Store will also be subject to these Terms. You may review the most current version of these Terms at any time on this page.

Our Store is hosted on Shopify Inc. Shopify provides the online e-commerce platform that allows us to sell our products and services to you.

SECTION 1 - ONLINE STORE TERMS

You must be at least 18 years old and have reached the age of majority in your jurisdiction to use the Site or place an order.

You may not use our products for any illegal or unauthorized purpose, nor may you, in your use of the Service, violate any applicable law or regulation, including copyright laws.

You must not transmit any worms, viruses, or other code of a destructive or malicious nature.

A material breach or violation of these Terms may result in suspension or termination of your access to the Site or Service in accordance with Section 19.

SECTION 2 - GENERAL CONDITIONS

YS Japan may restrict or refuse access to the Site or Service for legitimate business, legal, compliance, fraud-prevention, security, or safety reasons, to the extent permitted by applicable law.

The Applicable Seller may refuse, limit, or cancel an order or transaction in accordance with Section 6 of these Terms.

You understand that content you submit, other than credit card information, may be transferred unencrypted and may involve: (a) transmissions over various networks; and (b) changes made to conform and adapt to the technical requirements of connecting networks or devices. Credit card information is encrypted during transmission over networks.

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or Service, use of the Site or Service, or access to the Site or Service without the express written permission of YS Japan.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

YS Japan makes reasonable efforts to keep material information on the Site, including product descriptions, prices, availability, shipping information, and Store policies, accurate and current.

Some general, editorial, or historical content may be provided for reference only and may not reflect the most recent information. Customers should review the current product page, checkout information, and applicable policies before placing an order.

YS Japan may update or modify Site content from time to time.

If information on the Site is later found to contain a material error affecting an order, the error will be handled in accordance with Section 13.

SECTION 4 - MODIFICATIONS TO THE SITE, SERVICE, AND PRICES

Product prices are subject to change before purchase.

For Online Checkout Orders, the price displayed when you submit the order will apply if the order is accepted. For B2B Orders, the price stated in the applicable approved quotation, invoice, or account-specific terms will apply to the order, subject in each case to the correction of obvious errors as permitted by applicable law.

YS Japan may modify, suspend, or discontinue the Site, the Service, or any Site feature or content at any time, subject to applicable law.

The Applicable Seller may change product availability, quantities, or offerings before an order is accepted.

Neither YS Japan nor the Applicable Seller will be liable for a modification, price change, suspension, or discontinuance, except to the extent liability cannot be excluded under applicable law or the change affects an order that has already been accepted.

SECTION 5 - PRODUCTS AND SERVICES

Certain products or services may be available exclusively online and in limited quantities. Eligibility for a return, replacement, or refund is governed by our Refund Policy.

YS Japan makes reasonable efforts to display product colors, images, descriptions, and other product information accurately. However, the appearance of colors and images may vary depending on your device or display.

The Applicable Seller may limit the sale of products or services by person, customer account, geographic region, jurisdiction, or quantity. Any such limitation may be applied on a case-by-case basis for legitimate business, inventory, legal, safety, or compliance reasons.

Product descriptions, pricing, availability, and quantities may be changed before an order is accepted. The Applicable Seller may discontinue a product or service at any time.

Any offer for a product or service is void where prohibited.

Except as expressly stated in these Terms or required by applicable law, we do not guarantee that a product, service, information, or other material purchased or obtained through the Site will meet every customer’s individual expectation.

Nothing in these Terms limits any warranty, remedy, or consumer right that cannot be excluded under applicable law.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

The Applicable Seller may refuse, limit, or cancel an order for legitimate reasons, including suspected fraud, pricing or inventory errors, legal restrictions, safety concerns, unauthorized resale, or other misuse of the Site or Service.

An order is considered received when it is submitted but is not finally accepted until product availability has been verified and the Applicable Seller accepts the order.

For Online Checkout Orders, an Order Confirmation email acknowledges that we have received the order but does not constitute final acceptance. Final acceptance occurs when YS Japan issues a Shipping Confirmation email after product availability has been verified.

For B2B Orders, final acceptance occurs when YS US confirms the order after product availability has been verified.

If any item is unavailable, available only in a different quantity, or otherwise cannot be fulfilled as ordered, we may contact you to discuss available options before the order is accepted.

The Applicable Seller may also limit quantities purchased per person, household, business, customer account, payment method, billing address, or shipping address.

If the Applicable Seller changes or cancels an order, we will attempt to notify you using the email address, billing address, shipping address, or phone number provided with the order.

If we are unable to fulfill an order as agreed and payment has already been collected, the Applicable Seller will refund the applicable amount in accordance with applicable law and our Refund Policy.

If we learn that we cannot ship an order within the time stated in our Shipping Policy or otherwise promised to you, or, if no such time is stated, within thirty (30) days after we receive the order, we will notify you and, as required by applicable law, offer you the option to consent to the delay or cancel the affected order and receive a full refund.

Restrictions on unauthorized resale do not prohibit approved B2B chef account or wholesale orders.

You agree to provide current, complete, and accurate purchase and account information for all orders. You also agree to promptly update your email address, billing information, shipping information, payment information, and other account details so that we can complete your transaction and contact you as needed.

SECTION 7 - PRICING, CURRENCY, TAXES AND PAYMENT

All prices displayed on the Site are stated in United States Dollars (USD) unless otherwise indicated.

For Online Checkout Orders, we accept the payment methods displayed at checkout. Depending on the payment method and applicable payment settings, payment may be authorized or charged when you submit your order.

If an Online Checkout Order is not accepted, or is canceled in accordance with Section 6, we will release any applicable payment authorization or refund any amount charged, as appropriate, in accordance with our Refund Policy.

For B2B Orders, payment terms are those stated in the applicable approved quotation, invoice, or account-specific terms.

For Online Checkout Orders, applicable sales, use, or similar taxes and shipping charges are calculated and displayed at checkout before you submit your order.

For B2B Orders, applicable taxes, shipping charges, and any other agreed charges will be stated in the applicable quotation, invoice, or account-specific terms before the order is accepted.

Shipping methods, shipping charges, estimated transit times, and geographic restrictions are described in our Shipping Policy.

Any import duties, customs charges, or import handling fees incurred in bringing products into the United States are borne by YS Japan and/or YS US, as applicable, and will not be separately charged to the customer after purchase.

We will not impose additional surcharges, handling fees, or other charges that have not been disclosed to you before the order is accepted.

Payment card information is processed through Shopify’s secure checkout and applicable payment service providers. We do not store full payment card numbers.

SECTION 8 - OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have control or input.

You acknowledge and agree that we provide access to such tools “as is” and “as available,” without warranties, representations, or conditions of any kind and without endorsement.

To the extent permitted by applicable law, we will have no liability arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the Site is entirely at your own risk and discretion. You should ensure that you are familiar with and approve the terms under which such tools are provided by the relevant third-party provider.

We may also offer new services and/or features through the Site in the future, including new tools and resources. Such new features and/or services will also be subject to these Terms.

SECTION 9 - THIRD-PARTY LINKS

Certain content, products, and services available through the Service may include materials from third parties.

Third-party links on the Site may direct you to third-party websites that are not affiliated with us.

We are not responsible for examining or evaluating the content or accuracy of third-party materials or websites, and we do not warrant and will not have liability or responsibility for third-party materials, websites, products, or services.

To the extent permitted by applicable law, we are not liable for harm or damages related to the purchase or use of goods, services, resources, content, or other transactions made in connection with third-party websites.

Please carefully review the third party’s policies and practices and make sure you understand them before engaging in a transaction.

Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the applicable third party.

SECTION 10 - INTELLECTUAL PROPERTY

The Site and its contents, including text, graphics, logos, icons, images, product photography, designs, and the compilation thereof, are owned by or licensed to YS Japan and may be protected by copyright, trademark, and other applicable intellectual property laws.

The House of Umami name and associated logos are owned by or licensed to YS Japan and may be protected by trademark and other applicable laws. You may not use them without the prior written permission of YS Japan.

Nothing in these Terms grants you any right, title, or interest in the Site, its contents, or The House of Umami name or logos, other than the limited right to access and use the Site in accordance with these Terms.

SECTION 11 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If, at our request, you send specific submissions, such as contest entries, or if you send creative ideas, suggestions, proposals, plans, or other materials without a request from us, whether online, by email, by postal mail, or otherwise (collectively, “comments”), you agree that we may, at any time and without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you provide to us.

We are under no obligation: (1) to maintain comments in confidence; (2) to pay compensation for comments; or (3) to respond to comments.

We may, but have no obligation to, monitor, edit, or remove content that we determine in our reasonable discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, otherwise objectionable, or in violation of any party’s intellectual property rights or these Terms.

You agree that your comments will not violate any right of a third party, including copyright, trademark, privacy, personality, or other personal or proprietary rights.

You further agree that your comments will not contain unlawful, abusive, obscene, libelous, or defamatory material, or any computer virus or other malware that could affect the operation of the Service or any related website.

You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties regarding the origin of any comments.

You are solely responsible for comments you make and their accuracy. We take no responsibility and assume no liability for comments posted by you or any third party, except as required by applicable law.

SECTION 12 - PERSONAL INFORMATION

Your submission and our processing of personal information through the Site are governed by our Privacy Policy.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS

The Site or Service may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability.

YS Japan may correct, update, or clarify Site information when an error, inaccuracy, or omission is identified.

If a material error is discovered after an order is placed, the Applicable Seller will notify you. We may correct the affected order with your agreement or cancel the affected order or item to the extent permitted by applicable law.

If an order or item is canceled because of such an error, the Applicable Seller will refund any amount paid for the canceled order or item.

No update or refresh date displayed on the Site should be interpreted to mean that all information on the Site has been modified or updated as of that date.

SECTION 14 - PROHIBITED USES

In addition to other prohibitions set forth in these Terms, you are prohibited from using the Site or its content:

  1. for any unlawful purpose;
  2. to solicit others to perform or participate in unlawful acts;
  3. to violate applicable international, federal, state, provincial, or local laws, regulations, rules, or ordinances;
  4. to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
  5. to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or unlawfully discriminate against others;
  6. to submit false or misleading information;
  7. to upload or transmit viruses or any other type of malicious code that may affect the functionality or operation of the Service, the Site, related websites, other websites, or the Internet;
  8. to collect or track the personal information of others unlawfully;
  9. to spam, phish, pharm, pretext, spider, crawl, or scrape in violation of applicable law or our rights;
  10. for any obscene or unlawful purpose; or
  11. to interfere with or circumvent the security features of the Service, the Site, related websites, other websites, or the Internet.

YS Japan may suspend or terminate your use of the Site or Service for violating these prohibited uses in accordance with Section 19.

SECTION 15 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee that the Site or Service will always be uninterrupted, timely, secure, or error-free.

We do not warrant that all results obtained from the use of the Site or Service will be accurate or reliable.

YS Japan may suspend or remove the Site or Service for maintenance, security, operational, or other legitimate reasons.

To the maximum extent permitted by applicable law, the Site and Service are provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express or implied.

To the maximum extent permitted by applicable law, neither Ys and Partners Japan Co., Ltd. nor Ys and Partners, Inc., nor any of their respective directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, or licensors, will be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising out of or relating to the Site, the Service, or any product purchased through the Site.

To the maximum extent permitted by applicable law, the total aggregate liability of the Applicable Seller arising out of or relating to a particular order will not exceed the amount you paid for that order.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

SECTION 16 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Ys and Partners Japan Co., Ltd., Ys and Partners, Inc., and their respective officers, directors, employees, agents, and affiliates from third-party claims arising from:

  1. your unlawful use of the Site or Service;
  2. your material breach of these Terms or a policy incorporated into these Terms; or
  3. your infringement or violation of another person’s rights.

This Section does not require you to indemnify any party for claims caused solely by that party’s own unlawful conduct, gross negligence, or willful misconduct.

SECTION 17 - FORCE MAJEURE

Neither YS Japan nor the Applicable Seller will be liable for delay in, or failure of, performance caused by events beyond its reasonable control, including natural disasters, extreme weather, epidemics or other public health emergencies, labor disputes, carrier or courier delays, customs or port delays, government action, or failure of utilities or communications networks.

If such an event prevents or materially delays fulfillment of an accepted order, we will notify you and, as required by applicable law, offer available options, which may include rescheduling delivery or canceling the affected order and issuing a refund in accordance with our Refund Policy.

SECTION 18 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law.

Any unenforceable portion will be severed from these Terms, and the remaining provisions will continue in full force and effect.

SECTION 19 - TERMINATION

You may stop using the Site or Service at any time.

YS Japan may suspend or terminate your access to the Site or Site-related features if you materially violate these Terms, misuse the Site, threaten the security or operation of the Site, or engage in unlawful activity.

The Applicable Seller may suspend or terminate an account-related or transaction-related service, or cancel an order, in accordance with these Terms and applicable law.

Termination does not eliminate any amount properly owed or any obligation arising before the termination date.

Obligations and liabilities incurred before termination will survive termination to the extent necessary to give them effect.

SECTION 20 - ENTIRE AGREEMENT; WAIVER

A failure by YS Japan or the Applicable Seller to exercise or enforce a right or provision of these Terms will not constitute a waiver of that right or provision.

For use of the Site and Site-related Service, these Terms and the policies incorporated by reference constitute the agreement between you and YS Japan.

For an order or transaction, these Terms and the policies incorporated by reference constitute the agreement between you and the Applicable Seller.

If an approved B2B account is governed by a separate written agreement, accepted quotation, invoice, or account-specific terms, those terms will control to the extent of any conflict with these Terms.

Subject to the preceding paragraph, these Terms supersede prior agreements or communications concerning the same subject matter.

Any ambiguity in these Terms will not automatically be construed against the party that drafted them.

SECTION 21 - GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles, except to the extent mandatory consumer protection law in the customer’s jurisdiction applies.

SECTION 22 - CHANGES TO TERMS OF SERVICE

The most current version of these Terms is available on this page.

YS Japan may update, change, or replace these Terms by posting a revised version on the Site.

When required by applicable law, we will provide additional notice of material changes.

Changes will apply prospectively from the Effective Date or updated effective date stated in the revised Terms, except where applicable law permits or requires otherwise.

Your continued use of the Site or Service after the effective date of the revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
